These Terms of Service ("Terms") govern your access to and use of BioWise, a compliance orchestration platform provided by Cohera ("Company", "we", "us", or "our"). By accessing or using BioWise, you agree to be bound by these Terms.

1. Service Description

BioWise is a software-as-a-service platform that provides compliance orchestration capabilities for pharmaceutical and life sciences companies. The Service enables cross-system visibility, certificate management, and quality workflow automation.

2. Account Registration

To use BioWise, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights of others
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to our systems
  • Resell or redistribute the Service without authorization

4. Your Data

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Service. We will handle Customer Data in accordance with our Privacy Policy.

You are responsible for ensuring you have the right to submit Customer Data and that such data complies with applicable laws and regulations.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Cohera and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

6. Subscription and Fees

Access to BioWise requires a paid subscription. Fees are specified in your service agreement. Unless otherwise stated:

  • Fees are non-refundable
  • We may change fees upon 30 days notice
  • You are responsible for all applicable taxes

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice when possible.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or meet your specific requirements. You use the Service at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COHERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Cohera and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate the subscription as specified in the service agreement. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:

  • Your right to use the Service ceases immediately
  • We will provide reasonable access to export your data
  • Provisions that should survive termination will remain in effect

12. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by the laws of Denmark, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Copenhagen, Denmark.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Cohera regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right does not constitute waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
